Terms and Conditions

These Terms and Conditions (hereinafter referred to as "Terms") are entered into between Plantime and the merchant of record Paddle.com Market Ltd, with its principal place of business at Judd House, 18-29 Mora Street, London EC1V 8BT (hereinafter referred to as "Service Provider"), and you, the individual or entity accessing or using our services ("Client", "User", or "Customer").
1. Acceptance of Terms
By registering on the Platform or accessing the services, Client agrees to these Terms and Conditions, as well as any updates or modifications that may be made from time to time.
2. Service Overview
The Service Provider provides the Client with a comprehensive platform designed to streamline shift planning and offer managers a clear and intuitive overview of staff availability, assignments, and workloads by leveraging a machine learning algorithm.
3. Eligibility
To use the Platform, you must:
- As a natural person you have to be at least 18 years old or the legal age of majority in your jurisdiction.

If you are accessing or using the Platform on behalf of a corporate entity,
organization, or other legal entity ("Entity"), you represent and warrant that:
- You have the full legal authority and capacity to enter into a binding agreement on behalf of the Entity;
- You have obtained all necessary internal approvals or authorizations required by the Entity to accept these Terms and Conditions and to use the Platform in accordance with them;
- Your acceptance of these Terms and Conditions will be deemed an act of the Entity, and the Entity will be bound by them.
4. Free Trial
4.1 Duration
The Platform offers a free plan with limited functionality and a free 30-day trial period during which you can access all features of the service without charge.
4.2 Trial Expiry
At the end of the 30-day trial period, you will be charged for the paid plan to ensure continued usage of the Platform's services.
4.3 Subscription After Trial
You are automatically charged after the trial ends; the subscription must be actively canceled to stop using the service.
5. Subscription Plans
5.1 Subscription Options
The Service Provider offers several subscription plans, details of which are provided on our Pricing page. Subscription fees are payable in advance and will automatically be billed on a monthly basis.
5.2 Payment and Billing
By subscribing to a paid plan, you agree to:
- Provide accurate and complete payment information.
- Authorize the Service Provider to charge your chosen payment method for the subscription fees.
Payments are processed by third-party providers in compliance with Swiss data protection regulations.
5.3 Automatic Renewal
Unless otherwise stated, your subscription will automatically renew at the end of the subscription period unless you cancel the renewal prior to the renewal date. You can manage your subscription via your accounts settings page.
5.4 Refund Policy
All payments made are non-refundable except where required by Swiss law. If you cancel your subscription, you will not receive a refund for any unused portion of your subscription period.
6. Account and Security
6.1 Account Registration
To use the Platform, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
6.2 Account Usage
You agree not to share your account login details with any third party. You are fully responsible for all activities that occur under your account.
6.3 Suspension or Termination
The Service Provider reserves the right to suspend or terminate your account if he suspect that you are violating these Terms, engaging in illegal activity, or harming the Platform in any way.
7. User Responsibilities
7.1 In general
You agree to:
- Use the Platform in compliance with Swiss law and regulations.
- Provide accurate and lawful data when inputting information for shift planning.
- Not use the Platform for any fraudulent or malicious activity.
8. Compliance with Applicable Laws
You acknowledge and agree that while the Platform provides automated shift planning tools, it remains your sole responsibility to ensure that all shift plans created through the Platform comply with all applicable laws, regulations, and collective bargaining agreements (if any) in your jurisdiction, including but not limited to labor laws, working hours, overtime regulations, and employee rest periods.
We make no representations or warranties regarding the legal compliance of shift plans generated by the Platform, and we disclaim any liability for any legal consequences arising from the use of the shift planning tool. You must verify that each shift plan adheres to all relevant legal requirements before implementation.
9. Data Protection and Privacy
By agreeing to these Terms and Conditions, you acknowledge that you have read, understood, and agree to the terms of our Privacy Policy, which is hereby incorporated by reference and therefore give us explicit consent to the processing of sensitive personal data. Said Privacy Policy explains how we collect, use, and protect your information and can be accessed at plantime.io/privacy.
10. Intellectual Property
All content, features, and software provided through the Platform are owned by the Service Provider or our licensors. You are granted a limited, non-exclusive, non- transferable right to use the Platform solely for shift planning purposes in accordance with these Terms.
You may not:
- Reproduce, distribute, or modify any part of the Platform.
- Reverse engineer, decompile, or attempt to extract the source code of the Platform.
11. Liability
11.1 Limitation of Liability
To the fullest extent permitted by Swiss law. The Service Provider shall in particular not be liable for:
- Any indirect, consequential, or incidental damages arising from your use of the Platform.
- Any errors or inaccuracies in the shift planning results.
The liability of the Service Provider for any claim arising out of these Terms shall not exceed the total amount paid by the User in the 12 months prior to the event leading to the claim.
11.2 No Warranty
The Platform is provided "as is," without any warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, or non- infringement.
12. Termination
The Service Provider may terminate or suspend your access to the Platform at any time if you violate these Terms or for any other reason, at his sole discretion.
13. Changes to the Terms
The Service Provider reserve the right to modify these Terms at any time. The Service Provider will provide reasonable notice of any changes by posting the updated Terms on the Platform. Continued use of the Platform following the posting of changes will constitute your acceptance of the new terms.
14. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Switzerland excluding the CISG. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Basel (Switzerland).
